This Privacy Policy describes how Netafim Ltd., and its affiliates (“Netafim”, “we”, “us”, “our”) process personal information when you interact with us through our website, www.netafim.com (including all subdomains depending on your location), apps, digital farming and irrigation products or services, SaaS and/or e-commerce platforms and related solutions, or other digital products on which this Privacy Policy appears, (collectively, the “Services”), if you visit our premises, or are a supplier of Netafim.

1. PERSONAL INFORMATION WE COLLECT, WHY AND FOR HOW LONG 

When you engage with us, we collect your personal information. To the extent the General Data Protection Regulation (“GDPR”) or the UK Data Protection Act 2018 (“DPA”) applies to the processing activities outlined below, Netafim is the data controller and our contact details are included below. Netafim collects personal information when you:

  • Create a Dealer Portal Account. When you create a distributor account, either on your behalf, or on behalf of your employer, we collect from you your business information (distributor company, email address, physical address), your representative’s personal identifiers of (name, email address, phone number). We use this information to: (i) create a distributor account; (ii) determine your initial and continued eligibility to use our Services; (iii) facilitate the use of and operate our Services, and authenticate and provide access control to our Services; and (iv) troubleshoot where necessary. We retain this information for six (6) years from last contact. To the extent the GDPR or the DPA applies, the legal basis for this processing is that it is  necessary for the performance of a contract or our legitimate interest to provide and administer our services.
  • Apply to Become a Netafim Dealer.  When you, or the entity which you represent, become a Netafim dealer we collect from you your business information (distributor company, email address, physical address), your representative’s personal identifiers of (name, email address, phone number), if a business, your officers, owner or partners’ personal identifiers of (name, home address, phone number), your trade references personal identifiers of (name, email address, phone number, fax number). We use this information establish a customer account for you, establish credit limits. To the extent that any of this information solely relates to a non-human entity, we will not regard it as personal information, and therefore this Privacy Policy will not apply to it. We retain this information for six (6) years from last contact.  To the extent the GDPR or the DPA applies, the legal basis for this processing is that it is  necessary for the performance of a contract or our legitimate interest to provide and administer our services.
  • Communicate with us regarding the Services: When you communicate with us through our Services, for example, when submitting questions regarding your account, products you have purchased from us or are interested in purchasing from us, or completing a survey, we collect from you your personal identifiers (name, email address, phone number, address). We use this information to respond to your questions or inquiries, troubleshoot where necessary, provide support and training, enable our distributors to promote and sell our Services in the locations in which Netafim is operating and to assist and facilitate our Distributors’ efforts and address any issues you have with our Services. We retain this information for six (6) years from our last contact with you. To the extent the GDPR or the DPA applies, the legal basis for this processing is that it is  necessary for the performance of a contract or our legitimate interest in fulfilling your requests and communicating with you.
  • Contact us via our website. When you contact us via our website, we collect from you your personal identifiers (name) and contact details (email address, phone number, company and country) where you choose to submit a query to us. We use this information to provide you with customer care, assistance and technical support services, respond to your questions or inquiries, troubleshoot where necessary, provide support and training, address any issues you have with our Services. Additionally, we may use this information to facilitate and optimize our marketing and advertising campaigns, ad management and sales operations, and to manage and deliver advertisements for our products and Services more effectively. We may also use contact information to contact you with general or personalized service-related messages, or with promotional messages, and to facilitate, sponsor and offer certain events and promotions. We retain this information for six (6) years from last contact. To the extent the GDPR or the DPA applies, the legal basis for this processing is that it is  necessary for the performance of a contract or our legitimate interest in fulfilling your requests and communicating with you.
  • Communicate with us via telephone or mail. When you communicate with us offline via telephone or mail, we collect from you your personal identifiers (name, email address, phone number), and your audio information if you leave a voice mail message. We use this information to provide you with customer care, assistance and technical support services, respond to your questions or inquiries, troubleshoot where necessary, provide support and training, and address any issues you have with our Services. We retain this information for six (6) years from last contact. To the extent the GDPR or the DPA applies, the legal basis for this processing is that it is  necessary for the performance of a contract or our legitimate interest in fulfilling your requests and communicating with you.
  • Make a payment: When you pay for our Services, we collect from you your personal identifiers (name, email, telephone number), and in certain cases your sensitive financial information (credit card number) where you choose to pay by this method. We use this information to process your payment for our Services. To the extent that any of this information solely relates to a non-human entity, we will not regard it as personal information, and therefore this Privacy Policy will not apply to it. We retain this information for six (6) years from last contact. To the extent the GDPR or the DPA applies, the legal basis for this processing is the performance of our contract with you.
  • Interact with us on our website and social media. When you interact with us through social networking websites, we receive, from the social media company, basic engagement metrics and use it to tailor content and marketing and use it to improve user experience.  Engagement metrics are collected at a campaign or audience level and do not identify or relate to a specific individual or account. Please note that when you post personal information to our social networking websites, it will be viewable by other users of these websites and we cannot prevent further use of the personal information by third parties. We do not retain any personal information that you post to our social networking websites. When you interact with us on social media, we collect from you your personal identifiers (name, email address, phone number, address,) to the extent provided by you. We use this information to communicate with you, and to facilitate and manage business information relevant to the potential engagement of our Services.  For more information about how these social media networks use and protect your personal information, please refer to their privacy policies and terms of use. We retain this information for two (2) years from last contact.
  • When you sign up for and agree to our Services such as Growsphere, we collect from you your personal identifiers (name, email, telephone number), and in certain cases your sensitive financial information (credit card number) where you choose to pay by this method. We use this data primarily to provide the Services to you. To the extent the GDPR or the DPA applies, the legal basis for this processing is that it is necessary for the performance of a contract or our legitimate interest in fulfilling your requests and communicating with you. We may also use this data to create aggregated statistical data, inferred non-personal data, or anonymized or pseudonymized data (rendered non-personal), which we or our business partners and distributors may use to provide and improve our respective Services. To the extent the GDPR or the DPA applies, the legal basis for this processing is that it is in our legitimate interest in the management of our business operations and minimizing the amount of personal data processed as part of the noted processing activity.
  • GrowSphere. Some of our Services, such as GrowSphere, use sensors which enable you to monitor and control your irrigation according to specific features. Those sensors are capable of determining your approximate geolocation using the IP address of your device (or your land’s location, depending on the Service you are using) to provide you with details about its soil, weather, crop, hydraulic conditions and any other related information which is detected by such sensors. This information is not considered personal data where it relates solely to Services located on your land, although if coupled with other pieces of information, may be deemed so (for example, if you are the owner of the concerned farm or if such location relates to your personal device such as a cellphone).

If you download or use the Growsphere application on your personal device, we will process your personal identifiers (name, email address, state/country, Geolocation, IP address) to provide the Services, further develop, customize and improve the Services, and to improve your user experience, based on common or personal preferences, experiences and difficulties. To the extent the GDPR or the DPA applies, the legal basis for this processing is that it is necessary for the performance of a contract or our legitimate interest to provide and administer our services. Data retrieved by the sensors will be available to view in your account from where you can manage your Growsphere Service.

  • Visit or interact with our Services. In addition to the personal information you provide directly to us, we also collect information from you automatically as you use our Services via “cookies” and similar tracking technologies (including through the use of pixel tags). See our Cookie Policy here. To the extent the GDPR or the DPA applies,  the legal basis for processing non-essential cookies is your consent. You may withdraw your consent at any time. This includes the following internet or other electronic network activity information:
    I.    Usage information. We use essential, performance, marketing, and analytics cookies to collect information about your interaction with our Services, such as what you access, what you click on, the frequency of access, how much time you spend on the Services, and connectivity data. We use this information to: (i) track you within the Services; (ii) enhance user experience; (iii) conduct analytics to improve the Services; (iv) prevent fraudulent use of the Services; (v) diagnosis and repair Services errors, and, in cases of abuse, track and mitigate the abuse; and (vi) market to you more effectively across different web pages and social media platforms based on your browsing habits and history.     II.   Device information. We use essential, performance, marketing, and analytics cookies to collect certain information about the device you use to access the Services, such as hardware model, operating system, device preferences, browser version, and IP address. We use this information to: (i) track you within the Services; (ii) enhance user experience; (iii) conduct analytics to improve the Services; (iv) prevent fraudulent use of the Services; (v) diagnosis and repair Services errors, and, in cases of abuse, track and mitigate the abuse; and (vi) market to you more effectively across different web pages and social media platforms.     III.  Location information. We use essential, performance, marketing, and analytics cookies to collect information about your approximate location, which may be determined through your IP address. We use this information to: (i) enhance user experience; (ii) conduct analytics to improve our Services; and (iii) enable you to monitor and control your irrigation. Third party marketing and analytics cookies may be considered a sale or sharing under the CPRA.     In general, you can also disable cookies by setting your browser to refuse cookies or indicate when a cookie is being sent. Please note, if you opt out of these targeted advertising cookies, your opt-out will be specific to the web browser, app, or device from which you accessed the opt-out. If you use multiple devices or web browsers, you will need to opt out of each browser or device that you use.

  • Google Analytics. We use Google Analytics to collect information on your use of our Services for its improvement. To collect this information, Google Analytics installs cookies on your browser or reads cookies that are already there. Google Analytics also receives information about you from applications you have downloaded that partner with Google. We do not combine the information collected through the use of Google Analytics with personal information. Google’s ability to use and share information collected by Google Analytics about your visits to our Website or to another application which partners with Google is restricted by the Google Analytics Terms of Use and Privacy Policy. Netafim will also use the personal information we collect as described in this section to comply with the law; further develop, customize and improve the Services and improve your user experience, based on common or personal preferences, experiences and difficulties; and efficiently maintain our business, and for other limited circumstances as described in HOW WE SHARE YOUR PERSONAL INFORMATION.

2. HOW WE SHARE YOUR PERSONAL INFORMATION

A. General Sharing

  • Netafim shares personal information in the following instances: Within Netafim. We share your personal information among our affiliated entities for legitimate business purposes of efficiently and effectively providing our Services.  Access to your personal information is limited to those on a need-to-know basis. 
  • In the event of a corporate reorganization. In the event that we enter into, or intend to enter into, a transaction that alters the structure of our business, such as a reorganization, merger, acquisition, sale, joint venture, assignment, consolidation, transfer, change of control, or other disposition of all or any portion of our business, assets or stock, we would share personal information with third parties, including the buyer or target (and their agents and advisors) for the purpose of facilitating and completing the transaction. We will also share personal information with third parties if we undergo bankruptcy or liquidation, in the course of such proceedings.
  • With Third Parties. We may need to disclose your personal information to third parties, such as legal advisors, law enforcement agencies, or governmental/regulatory bodies to protect our legal interests and other rights, protect against fraud or other illegal activities, prevent harm, for risk management purposes, and to comply with our legal obligations.
  • For legal purposes. We share your personal information where we are legally required to do so, such as in response to court orders, law enforcement or legal process, including for national security purposes; to establish, protect, or exercise our legal rights, as required to enforce our terms of service or other contracts; to defend against legal claims or demands; to detect, investigate, prevent, or take action against illegal activities, fraud, or situations involving potential threats to the rights, property, or personal safety of any person; or to comply with the requirements of any applicable law.
  • With Your Consent.  Apart from the reasons identified above, we may request permission to share your personal information for a specific purpose. We will notify you and request consent before sharing your personal information. You may revoke your consent at any time.

B. Sharing in the Preceding Twelve (12) Months

For a business purpose. In the preceding twelve (12) months, Netafim has disclosed the following categories of personal information for a business purpose to the following categories of third parties:

  • We have disclosed your personal information with service providers that assist us in providing our Services. These service providers assist us with the following: IT support; customer relation management; data analytics; website hosting; communications and content delivery networks; identity management and authentication; billing and payment processing; data optimization; and similar services.
  • We have disclosed your internet or other electronic network activity information collected by cookies to our IT support to detect security incidents, protect against malicious, deceptive, fraudulent, or illegal activity, and to identify and repair our Services, and platform errors.
  • We have disclosed your internet or other electronic network activity information collected by cookies to our IT support to update, improve, and maintain our Services, and platform.
  • We have disclosed your financial information with our payment processors to facilitate your payments through our Services.
  • We have disclosed your internet or other electronic network activity information with advertising providers to measure the effectiveness of our online promotional campaigns.

C. Sale of Personal Information

With Third Party Advertisers. In the preceding twelve (12) months, Netafim has shared your internet or other electronic network activity information collected via cookies and other tracking technologies with our data analytics providers and ad networks as described in PERSONAL INFORMATION WE COLLECT, WHY AND FOR HOW LONG to provide targeted advertising. 3. YOUR INFORMATION CHOICES

You have the following choices with respect to your personal information:

  • Correct or View Your Information. You may access your Account to correct or view certain personal information you have provided to us and which is associated with your Account.
  • Opt Out of Google Analytics. To prevent your data from being used by Google Analytics, you can download the Google Analytics opt-out browser, which can be accessed here.
  • Opt Out of Advertising Cookies. To set your cookie preferences or opt out of the sale or sharing of your information via cookies, please visit https://www.netafimusa.com/cookie-policy/. All session cookies are temporary and expire after you close your web browser. Persistent cookies can be removed by following your web browser’s directions. Please note that each web browser is different. To find information relating to your browser, visit the browser developer’s Website and mobile application. If you reset your web browser to refuse all cookies or to indicate when a cookie is being sent, some features of our website may not function properly. If you choose to opt out, we will place an "opt-out cookie" on your device. The "opt-out cookie" is browser specific and device specific and only lasts until cookies are cleared from your browser or device. The opt-out cookie will not work for essential cookies. If the cookie is removed or deleted, if you upgrade your browser or if you visit us from a different computer, you will need to return and update your preferences. By clicking on the “Opt-Out” links below, you will be directed to the respective third-party website where your computer will be scanned to determine who maintains cookies on you.   • Opt Out of Email Tracking. You can disable this tracking by blocking automatic loading of images in your email.
  • Opt Out of Marketing Communications. You may opt out of receiving marketing emails from us or from our authorized partners (e.g., event or webinar co-sponsors) by clicking the “unsubscribe” link provided at the bottom of each email.  Please note that we will continue to send you notifications necessary to our Services, your account, purchases, or any assistance you request. DO NOT TRACK

We do not respond to Do Not Track requests. Do Not Track is a preference you can set in your web browser to inform websites and mobile applications that you do not want to be tracked. You can enable or disable Do Not Track by visiting the Preferences or Settings page of your web browser.

DATA RETENTION

We retain your personal data for as long as it is reasonably necessary to provide our Services; to maintain and expand our relationship and provide you with our Services and offerings; to comply with our legal and contractual obligations; or to protect ourselves from any potential disputes (e.g. as required by laws applicable to log-keeping, records and bookkeeping, and in order to have proof and evidence concerning our relationship, should any legal issues arise following your discontinuance of use), all in accordance with applicable laws and regulations, and where applicable, also in accordance with our Distributor’s relationship with you.

COMMUNICATIONS

We engage in service and promotional communications, through e-mail, mail, phone, SMS and notifications.

Service Communications: we may contact you with important information regarding our Services. For example, we may send you notifications (through any of the means available to us) of changes or updates to our Services, billing issues, payment issues, login attempts or password reset instructions, or regarding customer service relating to our Services, etc. Our Distributors may also send their Users on the same Distributor account notifications, messages and other updates regarding your use of our Services.

Notifications and Promotional Communications: we and our authorized partners (e.g., event or webinar co-sponsors) may also notify you about new features, additional offerings, events, webinars, special opportunities or any other information we think you will find valuable. We may provide such notices through any of the contact means available to us (e.g., SMS, phone, mail, mobile or e-mail), through the Services, or through our marketing campaigns on any other sites or platforms.

You can typically control your communications and notifications settings from any of your Netafim profile settings, or otherwise by following the instructions included in the communications sent to you. If you do not wish to receive promotional communications, you may also notify Netafim by sending an e-mail to: data.privacy@netafim.com.

INFORMATION SECURITY

We recognize the importance of data security for our customers.  We treat your data with the utmost care and have put in place appropriate security measures to protect the confidentiality, integrity and availability of your personal information from unlawful or unauthorized processing and accidental loss, destruction or damage. We monitor our network & systems for vulnerabilities and attacks and also carry out regular testing to identify ways to further strengthen our security.  Although we take commercially reasonable measures to protect your personal information, we cannot guarantee its security.  For this reason, we urge users to take every precaution to protect their personal information whilst using the internet.

CHILDREN’S PRIVACY

The Services are not intended for individuals under the age of eighteen (18) years. If we learn that we have collected or received personal information from individuals under the age of eighteen (18), we will delete the personal information. If you believe we have personal information on individuals under the age of eighteen (18), please contact us at the contact information provided below.

CHANGES TO THIS PRIVACY POLICY

We may amend this Privacy Policy in our sole discretion at any time. If we do, we will post the changes to this page, and will indicate the date the changes go into effect. We encourage you to review our Privacy Policy to stay informed. If we make changes that materially affect your privacy rights, we will notify you by prominent posting on our Sites and/or via email, and request your consent, if required.

RIGHTS OF CALIFORNIA RESIDENTS

The California Privacy Rights Act (“CPRA”) entitles California residents to certain rights. To the extent the CPRA applies to our processing of your personal information, you are entitled to the following rights:

  • Right to Access/Know: You have the right to request what personal information we have collected, used, disclosed, and sold about you, unless doing so proves impossible or would involve disproportionate effort. You may only make a request for access twice within a 12-month period.   • Right to Deletion: You have the right to request the deletion of your personal information that we collect or maintain, subject to certain exceptions. For example, if we are required by law to retain the information that you are asking be deleted, we would not be able to delete the information until we are legally permitted to delete it.   • Right to Opt Out of Sale/Sharing: You have the right to opt out of the sale or sharing of your personal information to third parties. Netafim does not have actual knowledge that it sells or shares personal information of minors under the age of sixteen (16) years.   • Right to Non-Discrimination: You have the right to not receive discriminatory treatment if and when you exercise your rights to access, delete, opt out, correct, or limit use of sensitive personal information under the CPRA.
  • Right to Correct: You have the right to correct inaccurate personal information that we collect or maintain.
  • Right to Limit Use of Sensitive Personal Information: You have the right to limit the use of your sensitive personal information when such use goes beyond that which is necessary for providing the services or certain other permissible purposes like fraud, customer service or quality control. Sensitive personal information includes Social Security number, driver’s license number, biometric information, precise geolocation, and racial and ethnic origin. Netafim does not use sensitive personal information collected through our Services in this manner.

For requests submitted via telephone, you must provide us with sufficient information that allows us to reasonably verify you are the person about whom we collected the personal information and describe your request with sufficient detail to allow us to properly evaluate and respond to it. In doing so, we will take steps to verify your request by matching information provided by you with the information we have in our records. If we are not able to verify your identity for access and deletion requests with the information provided, we may ask you for additional pieces of information.

Only you, or a person that you authorize to act on your behalf may make a request related to your personal information. If you are an authorized agent making a request on behalf of another individual, you must provide us with signed documentation that you are authorized to act on behalf of that individual.

RIGHTS OF INDIVIDUALS IN THE EUROPEAN UNION

Individuals in the European Union (“EU”) and the United Kingdom (“UK”) are entitled to certain rights under the General Data Protection Regulation (“GDPR”) or the UK Data Protection Act 2018 (“DPA”). If our processing of your personal information is subject to these laws, you are entitled to the following rights:

  • Right to rectification: You have the right to ask us to rectify personal information you think is inaccurate. You also have the right to ask us to complete information you think is incomplete.
  • Right to erasure: You have the right to ask us to erase your personal information in certain circumstances.
  • Right to restrict processing: You have the right to ask us to restrict the processing of your personal information in certain circumstances.
  • Right to object to processing: You have the right to object at any time, for reasons arising from your particular situation, to processing of your personal information, which is carried out on the basis of our legitimate interests.
  • Right to data portability: This only applies to personal information you have given us. You have the right to ask that we transfer the personal information you gave us from one organization to another or give it to you.
  • Right to lodge a complaint: You have the right to lodge a complaint with the relevant supervisory authority.
    • If you are an individual in the UK, you should lodge your complaint with the Information Commissioner’s Office (ICO), the body that regulates the handling of personal information in the United Kingdom.     • If you are an individual in the EU, you should lodge your complaint with the relevant supervisory authority.

Please note that such rights are not absolute. There are instances where applicable law or regulatory requirements allow or require us to refuse to provide some or all of the personal information that we hold about you. In the event that we cannot accommodate your request, we will inform you of the reasons why, subject to any legal or regulatory restrictions.

Please also note that we may require additional information, including certain personal data, in order to authenticate and process your request. This additional information may be then retained by us for legal purposes (e.g., as proof of the identity of the person submitting the request). We may redact from the data which we will make available to you, any personal data related to others.

Subject to compliance with local law requirements, the recipients of Personal Data described in Section 2 may be located inside or outside your own country, in countries whose laws regarding data protection may not offer an adequate level of protection compared to the laws in your country. For example, not all countries outside the European Economic Area ("EEA") offer the same level of protection as in the EEA. 

Netafim will take all necessary measures to ensure that transfers out of your country are adequately protected as required by applicable data protection law. With respect to transfers to countries not providing an adequate level of data protection, Netafim may base the transfer on appropriate safeguards, such as the EU standard contractual clauses adopted by the European Commission or other approved data transfer or certification mechanisms together with binding and enforceable commitments of the recipient. In each instance, Netafim will review the transfer and ensure that any additional technical and organizational measures are put in place to ensure that an adequate level of protection is provided. You are entitled to receive a copy of any documentation showing the suitable safeguards that have been taken by making a request using the contact details provided in Section 12 below.

(our UK subsidiary) have been designated as Netafim’s representatives in the European Union and the United Kingdom, respectively, for data protection matters. Netafim Netherlands B.V and Netafim UK Ltd. may be contacted only on matters related to the processing of Personal Data.
